Complete Officer's Certificate and Accept Agreement


The undersigned authorized representative, as identified below, of {Business Name} (“Member”) hereby certifies on behalf of the governing board, shareholder(s), member(s), and/or owner(s) (as applicable) of Member, in such capacity and not individually, as follows:

A. The governing board, shareholder(s), member(s), and/or owner(s) (as applicable) of Member adopted resolutions (“Resolutions”) at a properly held meeting (at which a quorum was acting throughout) or by unanimous written consent, in accordance with applicable laws and Member’s governing documents, that appointed {Administrator's First Name} {Administrator's Last Name}, the {Administrator's Title} of Member (hereinafter, “Business Administrator”) to be the main point of contact between Member and Royal Credit Union (“Royal”) with regard to Business Online Banking services.

B. The Resolutions stated that Business Administrator, acting alone, shall have the following powers and authority on behalf of Member:

      1. Establish the Business Online Banking service and additional Users (“Business Users”) to use the service, granting such Business Users the authority to perform any or all functions permitted by the Business Online Banking service;
      2. Perform transactions via Business Online Banking, impacting Member’s Account(s) at Royal. These transactions may include balance inquiries, bill payment orders, ACH and wire origination, and/or involve other financial institutions;
      3. Request Member’s Account(s) be enrolled in or removed from Business Online Banking services, and establish and edit transactional limitations and approval requirements on such Accounts;
      4. Perform Business User maintenance, such as set up, edit, or delete Business User’s information and authority.  It is understood that Business Administrator has the ability to create other Business Users with the same level of account access, capability, authority, and privileges as Business Administrator. Any Business User given the ability to perform Business User maintenance can create, edit or delete other Business Users with any or all of the above levels of account access, authority and privileges;
      5. Establish transactional limitations and approval requirements for the Business Online Banking service;
      6. Create and view reports detailing Business User and Account information; and
      7. Completely read and adhere to Royal’s Online Disclosure(s).

 

C. Member authorizes each Business Administrator and Subuser to perform any or all functions permitted by the Business Online Banking service, and authorizes Royal to rely on any instructions it receives from the Business Administrator or any Subuser.

D. Royal is authorized to act and rely on this Certificate until it actually receives, and is able to distribute to its affected employees, written notice of revocation from Member.

E. This Certificate does not supersede, but works in conjunction with, other Royal disclosures or agreements.

F. Member shall have a new Certificate delivered to Royal if and when the above-identified Business Administrator ceases to function in such capacity for Member.

The undersigned certifies as follows:

      1. I am duly appointed and acting on behalf of Member.
      2. The foregoing is a full, true and correct summary of resolutions duly adopted by the governing board, shareholder(s), member(s), and/or owner(s) (as applicable) of Member, either at a properly held meeting (at which a quorum was acting throughout) or by unanimous written consent, in accordance with applicable laws and Member’s governing documents.
      3. The foregoing is in full force and effect, has not been revoked or amended, and does not exceed the powers of Member or the powers of Member’s governing board, shareholder(s), member(s), and/or owner(s) (as applicable).
